1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Quiet Wealth Society software-as-a-service platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you are not authorized to use the Service.

2. Description of the Service

Quiet Wealth Society provides business automation and client management tools, including but not limited to CRM, funnels, websites, membership portals, communities, workflow automation, calendars, email/SMS marketing, and payments. The exact features available depend on your subscription plan.

3. Age Restriction

Our Services and website are intended for individuals who are 18 years of age or older. By accessing or using the Service or submitting your contact information, you confirm that you are at least 18 years of age. We do not knowingly permit individuals under 18 to use the Service.

4. Subscription Plans

Access to the Service is provided through subscription plans at the pricing displayed during checkout. Plans renew automatically unless cancelled.

5. Additional Services and Fees

Additional services (e.g. SMS, phone calls, premium integrations, email verification) may incur extra charges. You are responsible for covering usage-based costs.

6. Email Verification Costs

For improved deliverability, optional email verification is offered at published rates. Charges apply per verification and can be managed in your account settings.

7. Modifications

We may modify, suspend, or discontinue the Service at any time, as well as update these Terms. Continued use after changes constitutes acceptance of the new Terms.

8. Term, Termination, and Suspension

• 8.1 Term: Terms remain in effect as long as you maintain an account.
• 8.2 Termination by Us: We may suspend or terminate accounts at any time for violations.
• 8.3 Cancellation by You: You may cancel at any time; all data will be permanently deleted within 72 hours. No refunds for unused time.
• 8.4 Paused Accounts: At our discretion, accounts may be paused for a monthly storage fee.
• 8.5 Platform Closure: In the event of closure, customers may migrate directly to HighLevel.

9. Payment of Fees

Subscription fees are billed automatically via third-party processors. Fees exclude applicable taxes. All payments are non-refundable; you may cancel to avoid future charges.

10. Digital Products (Courses, Tools & One-Time Purchases)

This section applies to one-time purchases of digital products, as distinct from recurring subscription access.

• 10.1 What This Covers: One-time purchases of digital products offered by Quiet Wealth Society, including courses, templates, tools, downloads, guides, and done-for-you or done-with-you build services such as The Quiet Wealth Activation (each, a "Digital Product").
• 10.2 Delivery and Access: Digital Products are delivered electronically and/or made available inside your account. Access is granted as soon as your payment is processed. You are responsible for having the means to access and use the Digital Product.
• 10.3 License: You receive a limited, personal, non-exclusive, non-transferable, non-sublicensable license to use the Digital Product for your own business. You may not share, resell, redistribute, sublicense, publicly post, or give any third party access to a Digital Product or your login credentials. All Digital Products remain the property of Quiet Wealth Partners, LLC and its licensors; no ownership transfers to you.
• 10.4 All Sales Final — No Refunds: Because Digital Products are delivered electronically and access is granted immediately, all sales of Digital Products are final and non-refundable. By completing your purchase you acknowledge you are receiving immediate access to digital content and, to the fullest extent permitted by law, waive any cancellation right, cooling-off period, or refund.
• 10.5 Build and Service Components: Where a Digital Product includes a build or service component (for example, The Quiet Wealth Activation), the fee covers the work performed and resources delivered, and is non-refundable once the work has begun.

11. Subscription Billing, Auto-Renewal & Cancellation

• 11.1 Auto-Renewal: Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected at checkout) and automatically renew for successive periods at the then-current rate until cancelled. By subscribing, you authorize us and our payment processors to charge your payment method on each renewal date without further notice unless and until you cancel.
• 11.2 Cancellation: You may cancel at any time from your account or by contacting [email protected]. Cancellation stops future renewals and takes effect at the end of your current paid billing period. You keep access through the end of the period you have already paid for.
• 11.3 No Partial or Prorated Refunds: Subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, downgrades, or periods in which your account remained open but unused. Cancelling stops future charges; it does not refund past ones.
• 11.4 Price Changes: We may change subscription pricing. For existing subscribers, a price change applies to the next renewal after reasonable notice.
• 11.5 Trials and Promotions: Unless stated otherwise, at the end of any free trial or promotional period your subscription converts to a paid subscription at the standard rate using the payment method on file.

12. Chargebacks & Payment Disputes

• 12.1 Contact Us First: If you have a billing concern, you agree to contact us at [email protected] before disputing a charge. Filing a chargeback, payment dispute, or reversal with your bank or card issuer without first contacting us is a breach of these Terms.
• 12.2 Digital Goods: Because our products provide immediate access to digital content and services, a chargeback filed after access has been granted is considered wrongful. We reserve the right to dispute any chargeback and to submit evidence of your agreement to these Terms, your purchase, and your access to or use of the products.
• 12.3 Consequences: Upon receiving a chargeback or payment dispute, we may immediately suspend or terminate your account and access to all products and data. You remain responsible for amounts owed plus any fees, costs, or charges we incur. Wrongful or fraudulent chargebacks may be referred to collections. Nothing in this section limits your rights under applicable law.

13. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, secure, or error-free service.

14. Limitation of Liability

To the fullest extent permitted by law, Quiet Wealth Society is not liable for indirect, incidental, or consequential damages (including lost profits or data). For subscriptions, our total liability is limited to the subscription fees paid in the one (1) month prior to the claim. For any one-time Digital Product, our total liability is limited to the amount you paid for that product.

15. Intellectual Property & Content Restrictions

All templates, designs, and intellectual property remain the property of Quiet Wealth Society. You may not redistribute, resell, copy, or use the Service to compete with us.

16. Acceptable Use

You agree not to misuse the Service. Prohibited activities include hacking, unauthorized access, uploading malicious code, or using the platform to harass others.

17. Indemnification

You agree to indemnify and hold Quiet Wealth Society harmless against any claims, damages, or liabilities arising from your use of the Service or violation of these Terms.

18. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, labor disputes, acts of war, or government restrictions.

19. Mobile Messaging (SMS) Terms

By providing your mobile number and opting in, you authorize Quiet Wealth Partners, LLC, doing business as Quiet Wealth Society, to send you SMS messages. Consent is not required to make a purchase or access the Service.

19.1 Program Description

Messages may include account notifications, billing alerts, service updates, onboarding reminders, platform announcements, and responses to your inquiries. Contacts who separately opt in to marketing communications may also receive special offers, membership updates, promotional announcements, and other marketing communications.

19.2 Opt-Out Instructions

You can cancel SMS messages at any time. Text STOP to +1 470-681-9096. After sending STOP, you will receive a one-time confirmation that you have been unsubscribed. You will no longer receive SMS messages from us after that point.

19.4 Rejoin Instructions

If you have previously opted out and would like to start receiving messages again, you may re-subscribe by opting in through our website form at the same point where you originally provided consent.

19.5 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Delivery is subject to network availability and conditions. Quiet Wealth Partners, LLC, doing business as Quiet Wealth Society, is not responsible for any delays or failures in the receipt of SMS messages caused by mobile carriers, network conditions, or circumstances beyond our reasonable control.

19.6 Data Rates Notice

Message and data rates may apply based on your mobile carrier's plan. Contact your wireless carrier for details about your text and data plan.

19.7 Message Frequency

Message frequency varies depending on your account activity and subscription status. Transactional messages are sent as needed based on your account events. Marketing messages, if opted in, are sent periodically. You may receive up to 4 messages per month.

For information about how we collect, use, and protect your personal data including mobile information, please review our Privacy Policy.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA. You agree to submit to the exclusive jurisdiction of the courts in Fulton County, Georgia, or U.S. federal courts in Georgia.

21. Entire Agreement

These Terms constitute the entire agreement between you and Quiet Wealth Society and supersede prior agreements.

22. Severability & Waiver

If any provision is held invalid, the remainder shall remain in effect. Our failure to enforce any right does not constitute a waiver.

23. Changes

We may revise these Terms at any time. Material changes will be posted with notice before taking effect. Continued use means acceptance of the new Terms.
